By participating in the Sweepstakes, each entrant agrees to (1) abide by these Official Rules, and the decisions of Sponsor, which shall be final in all respects; and (2) release, discharge and hold harmless Sweepstakes Entities, their respective affiliates, subsidiaries, advertising and promotion agencies from all liability, claims or damages arising out of their participation in the Sweepstakes and the acceptance, use or misuse of a prize. By accepting a prize, winner agrees except where otherwise prohibited by law to Sweeptstake Entities’ use of such winner’s name, photograph, likeness, biographical information and city and street address on a worldwide basis and in all forms of media in perpetuity, without compensation. Winners may be required to submit a signed Affidavit of Eligibility and Liability/Publicity Release, and confirmation that they have followed the Official Rules. If required, the affidavit must be signed and returned within 5 days of attempted notification. In the event of non-compliance within this period, an alternate winner will be selected. Any prize notification or prize returned to the Sponsor as undeliverable will result in the awarding of that prize to an alternate winner. Except where prohibited by law, the winner consents to the use of their name, image and entry in any manner by Sweepstakes Entities, and their advertising and promotion agencies without further compensation. Sweepstakes Entities nor their affiliates, subsidiaries, divisions, or related companies are responsible for any damages, taxes, or expenses that the winners and their guests might incur as a result of this Sweepstakes or receipt of prizes. Winners accepting prizes agree that all prizes are awarded on the condition that Sweepstakes Entities, their agents, representatives, affiliates and employees will have no liability whatsoever for any injuries, losses, or damages of any kind resulting from acceptance, possession, or use of the prize. Winner further acknowledges that Sweepstakes Entities are not responsible or liable for any warranty, representation, or guarantee express or implied, in fact or in law, relative to any prize, including but not limited to its quality, availability, mechanical condition or fitness. If for any reason beyond the control of Sponsor, this Sweepstakes is not capable of being conducted as planned, Sponsor in its sole discretion reserves the right to cancel, terminate, modify or suspend the Sweepstakes. Each entrant agrees that (i) any dispute arising out of or relating to this Sweepstakes or these Official Rules shall be resolved individually and without resort to any class action, and any judicial proceeding shall take place in a federal or state court within the State of California, Counties of Marin or Orange, and (ii) to waive all rights to claim punitive, incidental and consequential damages (including attorneys’ fees), other than actual out-of-pocket expenses  (i.e., expenses associates with participating in this Sweepstakes) and any and all right to have such claims multiplied or otherwise increased. All issues, questions or controversies concerning the construction, validity, interpretation and enforceability of these Official Rules, or the right and obligations of Sweepstakes entrants shall be governed and construed in accordance with the laws of the State of California, without giving effect to any choice of law or conflict of laws, rules or provisions (whether the State of California or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than that of the State of California.
